(IV) Corporate Governance Officer and Operational Status
The Company’s board of directors resolved on December 18, 2024, to appoint Ms. Shih Hui-Shan, the accounting officer, as the Corporate Governance Officer. She possesses over three years of experience in financial and accounting management at publicly listed companies, meeting the qualification requirements for the role of Corporate Governance Officer.
The primary duties of the Corporate Governance Officer include handling matters related to board and shareholders’ meetings in accordance with the law, preparing meeting minutes for the board and shareholders’ meetings, assisting directors with onboarding and ongoing education, providing necessary information for directors to perform their duties, and assisting directors in complying with applicable laws and regulations.
• Corporate governance-related matters include at least the following:
1. Handling matters related to board and shareholders’ meetings in accordance with the law.
2. Preparing meeting minutes for the board and shareholders’ meetings.
3. Assisting directors with onboarding and ongoing education.
4. Providing necessary information for directors to perform their duties.
5. Assisting directors in complying with applicable laws and regulations.
6. Reporting to the board of directors on whether the qualifications of independent directors meet relevant laws and regulations at the time of nomination, election, and during their term of office.
7. Handling matters related to changes in directors.
8. Other matters stipulated by the Articles of Incorporation or contracts.
